Terms of Service

These Terms of Service ("Terms") govern your access to and use of the association and club management platform provided by Member Link ("Member Link", "we", "us" or "our") at memberlink.online and associated club subdomains (the "Service"). By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a club, association or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
1. The Service
Member Link provides tools for clubs and associations to manage members, events, communications, forms, documents, payments and social media publishing. We may add, change or remove features from time to time. We will not materially reduce the core functionality of a paid plan during a paid-up subscription period without notice.
2. Accounts and eligibility
- You must be at least 18 years old to create an administrator account.
- You must provide accurate account information and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- Notify us promptly at support@memberlink.online if you suspect unauthorised use of your account.
3. Subscriptions, trials and billing
Free trial
New organisations may receive a free trial. At the end of the trial, continued use of the Service requires an active paid subscription. We may change the availability or duration of trials at any time for new customers.
Paid subscriptions
- Subscriptions are billed in advance on a monthly or annual basis via our payment provider, Stripe, and renew automatically until cancelled.
- Prices are as displayed at the time of purchase. We may change prices with reasonable advance notice; changes take effect at your next renewal.
- Taxes (such as GST) may be added where applicable.
- You can cancel at any time from your subscription settings. Cancellation takes effect at the end of the current billing period; you retain access until then. Except where required by law, fees already paid are non-refundable.
- If a renewal payment fails, we may retry the charge and suspend access to paid features until payment succeeds.
Payments collected by clubs
Clubs may use the Service to collect membership fees, event payments and other charges from their members through the club's own Stripe account. Those payments are between the club and its members; Member Link is not a party to them and is not responsible for refunds, disputes or chargebacks arising from them, which are handled by the club and Stripe.
4. Your content and data
- You retain ownership of the content and data you or your members submit to the Service ("Your Content").
- You grant us a limited licence to host, store, process, transmit and display Your Content solely to provide and support the Service (including publishing social media content you compose to accounts you connect).
- You are responsible for the accuracy and legality of Your Content, including having a lawful basis to store your members' personal information and any necessary consents.
- Our handling of personal information is described in our Privacy Policy.
5. Acceptable use
You agree not to, and not to permit others to:
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- send spam or unsolicited communications, or violate anti-spam laws (such as the Australian Spam Act 2003) when messaging members;
- upload or distribute content that is defamatory, infringing, obscene, harassing, or otherwise objectionable or harmful;
- upload malicious code, or attempt to probe, scan, breach or test the vulnerability of the Service or its authentication measures;
- access data of another organisation or user without authorisation;
- violate the terms or policies of connected third-party platforms (including Meta, LinkedIn, X/Twitter, TikTok and Stripe) when using integrations;
- resell, sublicense or provide the Service to third parties except as intended (i.e., managing your own organisation and its members);
- use the Service to build a competing product, or scrape or bulk-extract data other than your own.
We may investigate suspected violations and may remove content, suspend or terminate accounts that breach this section.
6. Third-party services
The Service integrates with third-party services such as Stripe (payments), email and SMS delivery providers, and social media platforms. Your use of those services is subject to their own terms and policies, and we are not responsible for their acts, omissions or availability. Connecting a third-party account is optional and can be disconnected at any time.
7. Intellectual property
The Service, including its software, design and branding, is owned by Member Link and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms for your internal organisational purposes. You may not copy, modify, reverse engineer or create derivative works of the Service except as permitted by law.
8. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates or modifications with or without notice. Support is provided via support@memberlink.online.
9. Termination
- By you: you may stop using the Service and cancel your subscription at any time.
- By us: we may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if your use poses a security or legal risk to the Service or others. Where practicable, we will give notice and an opportunity to remedy the breach first.
- Upon termination, your right to use the Service ceases. For a reasonable period after termination (normally 30 days), you may request an export of Your Content, after which we may delete it in accordance with our Privacy Policy and data-retention practices.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement. Nothing in these Terms excludes, restricts or modifies any consumer guarantee or right you have under the Australian Consumer Law or other laws that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special or consequential loss, loss of profits, revenue, goodwill or data; and (b) our total aggregate liability arising out of or in connection with the Service or these Terms is limited to the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Where liability cannot be excluded but can be limited, our liability is limited to re-supplying the Service or paying the cost of having it re-supplied.
12. Indemnity
You agree to indemnify us against claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in breach of these Terms, or your violation of any law or third-party right, except to the extent caused by our breach of these Terms or negligence.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date, and where changes are material we will take reasonable steps to notify account holders (for example, by email or in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. General
- Governing law: these Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
- Entire agreement: these Terms, together with the Privacy Policy, form the entire agreement between you and Member Link regarding the Service.
- Severability: if any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: failure to enforce a provision is not a waiver of the right to do so later.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
